Acceptance of Terms
Engagement with Nexagaze.com or the use of its proprietary SaaS and development services constitutes full acceptance of these Terms of Service. Failure to agree to these terms requires immediate cessation of website use and service engagement.
Scope of Services
Nexagaze.com provides technical services including, but not limited to, Next.js full-stack development, custom SaaS architecture, and AI automation integration. The specific scope, timeline, and deliverables for any given project are defined strictly within individual client contracts. Nexagaze.com reserves the right to modify or discontinue specific service offerings at its discretion.
Intellectual Property Rights
Upon receipt of full and final payment, the intellectual property rights of the custom-developed frontend code and specific software builds transfer to the client. Nexagaze.com explicitly retains all ownership rights, copyrights, and intellectual property to pre-existing codebases, reusable automation workflows, proprietary admin AI systems, and internal structural frameworks utilized to deliver the final product.
AI and Automation Liability
AI integrations and automated workflows are provided on an "as is" and "as available" basis. Nexagaze.com assumes zero liability for business disruptions, data loss, financial damages, or operational failures resulting from third-party API outages, AI model hallucinations, unexpected automation behaviors, or changes in external software limitations. Clients are solely responsible for monitoring their automated systems.
Payment and Billing
All financial transactions must adhere strictly to the schedule outlined in the specific project agreement. Nexagaze.com does not commence development, deployment, or infrastructure provisioning without agreed-upon upfront compensation. Failure to complete payments will result in the immediate suspension of web hosting, API access, and project development. Nexagaze.com operates under a strict no-refund policy for labor hours executed, code delivered, and API credits consumed.
Termination
Nexagaze.com reserves the unilateral right to terminate access to SaaS platforms, revoke API keys, or cancel service agreements without prior notice if a user breaches these Terms of Service. Breaches include unauthorized reverse engineering of Nexagaze.com infrastructure, failure to remit payment, or utilizing provided automation tools for illegal or maliciously non-compliant activities.
Governing Law
These Terms of Service are governed by and construed in accordance with the legal jurisdiction in which Nexagaze.com is registered and operates. Legal disputes arising from these terms must be resolved within that jurisdiction.
